These Terms apply to GracePoint Matrix, LLC and its affiliated brands, including, as applicable:

  • GracePoint Publishing
  • Human Design Press
  • Number Three Productions
  • The Author Path
  • Michelle Vandepas
  • Divine & Dangerous
  • Any additional websites, landing pages, online stores, courses, membership areas, event pages, and digital platforms operated by GracePoint Matrix, LLC

By accessing one of our websites, submitting a form, purchasing a product or service, registering for an event, subscribing to an email list, or otherwise using our content or services, you agree to these Terms.

If you do not agree, do not use our websites or services.

1. Scope of These Terms

These Terms apply to general website use and online transactions.

Certain services may also require a separate written agreement, proposal, order form, publishing agreement, retreat agreement, speaker agreement, coaching agreement, or other contract. If a separate written agreement conflicts with these Terms, the separate written agreement controls for that specific service.

Information on our websites is provided for general informational and marketing purposes. Website content is not a binding offer unless expressly stated otherwise.

2. Eligibility

Our websites, products, and services are intended for adults. You must be at least 18 years old to make a purchase, enter into a service agreement, submit materials for consideration, or register for a paid program or event.

Our websites are not directed to children under the age of 13. Do not submit personal information about a child through our websites unless it is reasonably necessary for an authorized business purpose and you have the legal authority to provide it.

3. Privacy

Your use of our websites is also subject to our Privacy Policy.

Our websites may collect information through forms, email subscriptions, online purchases, cookies, analytics tools, payment processors, scheduling tools, and other third-party service providers. Please review our Privacy Policy for information about how personal information may be collected, used, stored, and shared.

4. Artificial Intelligence and Technology-Assisted Services

We may use artificial intelligence tools, search tools, databases, software platforms, automation tools, transcription tools, editing tools, and other technology-assisted resources in our business operations and in connection with our services.

These tools may be used for purposes such as:

  • Research and information gathering
  • Search engine research and online searches
  • Brainstorming and outlining
  • Editing, proofreading, and content analysis
  • Summarization and organization
  • Metadata development and book descriptions
  • Marketing drafts and promotional planning
  • Administrative support and workflow management
  • Transcription, scheduling, and communications
  • Data analysis and internal quality control

AI-assisted output may contain inaccuracies, omissions, or errors. We do not represent that AI-generated or AI-assisted material is complete, error-free, original, legally protectable, or appropriate for every purpose. Human review remains important.

We may revise, reject, or disregard AI-assisted output at our discretion.

Unless otherwise authorized in writing, we will not knowingly use a client’s confidential unpublished manuscript, confidential proprietary material, or private personal information to train a generalized public AI model.

We may process submitted information and materials using third-party software platforms and service providers when reasonably necessary to provide services, manage our business, or improve workflow. Such use remains subject to applicable written agreements and our Privacy Policy.

Clients remain responsible for reviewing and approving final materials before publication, distribution, submission, filing, release, or public use.

5. No Permission to Scrape or Train AI Models Using Our Content

Unless we provide prior written permission, you may not use our websites, books, articles, courses, videos, recordings, downloads, worksheets, images, branding, or other content to:

  • Train, develop, test, fine-tune, or improve an artificial intelligence system, machine-learning model, language model, image-generation model, database, or automated content system
  • Create embeddings, datasets, archives, derivative databases, or searchable repositories
  • Scrape, crawl, harvest, copy, index, extract, reproduce, or systematically collect content using bots, spiders, scripts, automated tools, or similar technologies
  • Generate competing products, summaries, course materials, books, articles, coaching tools, or commercial content
  • Republish, license, sell, distribute, or commercially exploit our content

Limited indexing by legitimate public search engines is permitted solely for the purpose of displaying search results that direct users to our websites. We reserve the right to restrict or revoke that permission.

6. Intellectual Property

Unless otherwise stated, the content available through our websites and services is owned by or licensed to GracePoint Matrix, LLC or its affiliated brands. This includes text, books, excerpts, articles, graphics, photographs, logos, trademarks, service marks, videos, recordings, course materials, worksheets, downloads, designs, frameworks, program names, and other materials.

You may access and use our content for your own personal, noncommercial use only.

You may not copy, reproduce, modify, republish, distribute, sell, license, display, transmit, create derivative works from, or commercially exploit our content without prior written permission.

Purchasing a book, course, workbook, recording, consultation, or other product does not transfer intellectual-property ownership to you.

7. User-Submitted Materials

You may submit information or materials through our websites, forms, email systems, client portals, or other communication channels. These may include manuscripts, writing samples, book ideas, photographs, testimonials, reviews, applications, inquiries, and other content.

You represent that:

  • You have the right to submit the material
  • Your submission does not violate another person’s intellectual-property rights, privacy rights, confidentiality obligations, or other legal rights
  • Your submission does not contain unlawful, defamatory, fraudulent, threatening, or malicious material
  • Information you provide is accurate to the best of your knowledge

Submitting material for inquiry, review, or consideration does not create a confidential relationship, publishing relationship, coaching relationship, or other professional relationship unless we enter into a separate written agreement.

You retain ownership of material you submit unless a separate written agreement states otherwise.

You grant us a limited license to access, store, review, copy, format, and process submitted material as reasonably necessary to respond to your inquiry, evaluate a project, provide contracted services, maintain business records, or comply with legal obligations.

We will not publish your private submitted materials without authorization unless permitted by a separate agreement or required by law.

8. Testimonials, Reviews, and Public Submissions

If you voluntarily provide a testimonial, review, photograph, video, comment, or other material for promotional use, you grant us a nonexclusive, royalty-free, worldwide license to use, reproduce, edit for length or clarity, publish, and display that material in our marketing, websites, social media, presentations, and promotional materials.

We will not knowingly alter a testimonial in a way that materially misrepresents your views or results.

Testimonials describe individual experiences. They are not promises or guarantees that another person will achieve the same result.

9. Publishing and Creative Services

Publishing, editing, audiobook, distribution, marketing, publicity, consulting, and related services may be subject to separate written agreements.

We do not guarantee:

  • Acceptance of a manuscript
  • Publication by a particular date unless expressly stated in a written agreement
  • Retail placement
  • Media coverage
  • Book reviews
  • Awards
  • Bestseller status
  • Sales volume
  • Royalties
  • Profitability
  • Search-engine ranking
  • Social-media reach
  • Speaking opportunities
  • Business growth
  • Any specific commercial result

Publishing and marketing outcomes depend on many factors outside our control, including market conditions, retailer decisions, distributor policies, media decisions, reader response, author participation, pricing, timing, and third-party platforms.

10. Coaching, Workshops, Retreats, and Events

Our coaching, workshops, retreats, conferences, intensives, and educational programs are designed for informational, educational, and personal-development purposes.

They are not a substitute for legal, financial, accounting, medical, mental-health, or other licensed professional advice.

You remain responsible for your own decisions, actions, health, safety, travel arrangements, and results.

Event dates, locations, schedules, speakers, facilitators, activities, and program details may change when reasonably necessary. Additional terms may apply to specific events.

11. No Professional Advice

Website content and general communications do not constitute legal, tax, accounting, investment, medical, mental-health, or other regulated professional advice.

You should consult an appropriately qualified professional regarding your individual circumstances.

Although we may provide publishing-related information, we do not provide legal advice concerning copyright registration, trademarks, contracts, defamation, permissions, privacy rights, artificial intelligence, or other legal matters.

12. Purchases and Payments

Prices, payment terms, and product descriptions are displayed at checkout or included in a separate written agreement.

You agree to provide current, complete, and accurate billing information.

Payments may be processed by third-party payment providers. We do not control those providers and are not responsible for their separate terms, security practices, or service interruptions.

You authorize us and our payment providers to charge the payment method you provide for the amount disclosed at checkout or in your written agreement.

Unless otherwise stated, prices are in U.S. dollars.

13. Refunds, Cancellations, and Digital Products

Refund and cancellation terms vary depending on the product, service, event, or program.

The applicable refund and cancellation terms may be stated:

  • On the checkout page
  • In a separate Refund and Cancellation Policy
  • In an event registration page
  • In a proposal or invoice
  • In a separate written agreement

Digital products, downloadable materials, recordings, and immediately accessible online content may be nonrefundable once delivered or accessed, except where required by law.

If a separate written agreement applies, that agreement controls.

14. Email and Communications

When you subscribe, register, make a purchase, submit an inquiry, or otherwise provide your contact information, you may receive communications from us.

You may unsubscribe from marketing emails using the unsubscribe link included in the message. Transactional or service-related communications may still be sent when reasonably necessary.

You are responsible for keeping your contact information current.

15. Third-Party Websites and Platforms

Our websites may contain links to third-party websites, retailers, distributors, payment processors, scheduling platforms, social-media platforms, search engines, service providers, and other external resources.

We do not control third-party websites or platforms. We are not responsible for their content, availability, accuracy, privacy practices, security, terms, products, or services.

A link does not necessarily mean that we endorse or guarantee the third party.

Your use of a third-party website or platform is subject to that third party’s terms and policies.

16. Search Results and External Information

We may provide links, references, recommendations, summaries, search results, or information gathered from third-party sources.

Search results and third-party information may change, become outdated, contain errors, or reflect third-party opinions. We do not guarantee the accuracy, availability, or completeness of external information.

You are responsible for independently verifying information before relying on it for a significant decision.

17. Acceptable Use

You may not use our websites, forms, email addresses, client portals, or services to:

  • Violate any law
  • Infringe intellectual-property rights
  • Submit fraudulent or misleading information
  • Upload malicious software or harmful code
  • Attempt unauthorized access to accounts, systems, or data
  • Interfere with website operations
  • Impersonate another person or business
  • Send spam or unauthorized solicitations
  • Harass, threaten, defame, or harm another person
  • Use automated systems to extract data or content
  • Use our content to create a competing product or service
  • Circumvent security features or access restrictions

We may suspend or terminate access when we reasonably believe misuse has occurred.

18. Availability and Changes

We may modify, suspend, discontinue, or restrict any part of our websites or services at any time.

We do not guarantee uninterrupted access, error-free performance, or compatibility with every device or browser.

We may update these Terms from time to time. The updated version will be posted with a revised effective date. Your continued use of our websites after changes are posted constitutes acceptance of the updated Terms.

Material changes affecting an existing paid service will be handled in accordance with the applicable written agreement and applicable law.

19. Disclaimer of Warranties

To the fullest extent permitted by law, our websites, content, and general online resources are provided “as is” and “as available.”

We disclaim warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, title, noninfringement, accuracy, and availability.

Nothing in these Terms excludes rights that cannot legally be waived.

20. Limitation of Liability

To the fullest extent permitted by law, GracePoint Matrix, LLC and its owners, officers, employees, contractors, affiliates, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from your use of our websites, content, products, or services.

This includes loss of profits, revenue, data, opportunity, reputation, or business interruption.

To the fullest extent permitted by law, our total liability for a claim relating to a website purchase will not exceed the amount you paid us for the specific product or service giving rise to the claim.

Limitations in a separate written agreement control when applicable.

Some jurisdictions do not allow certain limitations of liability, so some provisions may not apply to you.

21. Indemnification

You agree to indemnify and hold harmless GracePoint Matrix, LLC and its owners, officers, employees, contractors, and affiliates from claims, damages, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising from:
